Please read these Terms carefully before using the BitesBanq platform. They set out your rights and obligations and form a binding legal agreement between you and Bitesbanq Limited.
This document is governed by the laws of the Federal Republic of Nigeria, including the Nigeria Data Protection Act (NDPA) 2023, FCCPA 2018, and Cybercrimes (Prohibition, Prevention, etc.) Act 2015.
These Terms and Conditions ("Terms") govern your access to and use of the BitesBanq platform — including our website at bitesbanq.com, mobile application, and any associated services (collectively, the "Platform") — provided by Bitesbanq Limited, a company duly incorporated under the Companies and Allied Matters Act (CAMA) 2020 in the Federal Republic of Nigeria ("BitesBanq", "we", "our", or "us").
By accessing or using the Platform in any manner, you ("User", "you", or "your") confirm that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy and any additional guidelines or policies we may publish from time to time.
If you do not agree to these Terms, you must not access or use the Platform. Your continued use of the Platform following any amendment constitutes acceptance of the revised Terms.
BitesBanq is a financial-technology and food-commerce platform that enables users to:
BitesBanq does not hold a banking licence and is not a bank. Financial services (including payment processing and BNPL) are provided in partnership with licensed financial institutions and payment service providers regulated by the Central Bank of Nigeria (CBN). These are Paystack, for the payment processing SafeHaven Microfinance Bank for savings account, and Globus Bank for credit facility and group buy feature. Any applicable payment service is subject to CBN guidelines and the relevant partner institution's terms.
To use the Platform, you must:
Users accessing the Platform on behalf of a corporate entity represent and warrant that they have the authority to bind that entity to these Terms.
Vendor eligibility additionally requires valid business registration with the Corporate Affairs Commission (CAC), compliance with applicable food safety standards (NAFDAC regulations), and approval by BitesBanq at our sole discretion.
To access certain features of the Platform, you must create an account. You agree to:
We reserve the right to suspend or terminate accounts that we reasonably believe are being misused, compromised, or operated in violation of these Terms.
For Know Your Customer (KYC) and Anti-Money Laundering (AML) compliance in accordance with CBN regulations and the Money Laundering (Prevention and Prohibition) Act 2022, we may require you to provide identity verification documents (e.g., NIN, BVN, government-issued ID) before accessing certain financial features of the Platform.
BitesBanq provides the Platform "as is" and reserves the right to modify, suspend, or discontinue any part of the services at any time with reasonable notice. Specific terms applicable to individual services include:
Savings Wallet
Your Savings Wallet is a non-interest-bearing virtual account for food savings purposes. Funds are held in trust by our licensed partner bank. Withdrawal of funds is subject to verification and applicable processing times. BitesBanq is not responsible for interest on wallet balances.
Marketplace
BitesBanq acts as an intermediary marketplace connecting buyers and vendors. We do not take title to goods sold through the Platform. Disputes regarding product quality, delivery, or fitness for purpose are primarily between you and the vendor, subject to our dispute resolution process set out in Section 13.
Buy Now, Pay Later (BNPL)
BNPL services are subject to separate credit terms provided by our licensed lending partner(s). Eligibility is determined by creditworthiness assessment. Failure to make payments on time may result in late fees, credit bureau reporting, and suspension of BNPL privileges. BitesBanq and its partners operate under CBN consumer credit guidelines.
Group Buying
Group purchases require the minimum number of participants to be met before an order is confirmed. If the group threshold is not met within the stipulated period, all contributions are refunded in full to participating users' wallets.
All financial transactions on the Platform are processed in Nigerian Naira (NGN) unless otherwise specified. By initiating a transaction, you agree to the following:
You agree to use the Platform lawfully and in good faith. The following conduct is strictly prohibited:
Providing false, misleading, or fraudulent information during registration or transactions
Using the Platform to launder money, finance terrorism, or engage in any activity prohibited by the EFCC Act, the Money Laundering (Prevention and Prohibition) Act 2022, or the Terrorism (Prevention and Prohibition) Act 2022
Accessing, hacking, or attempting to breach the Platform's systems or networks — an offence under Section 6 of the Cybercrimes (Prohibition, Prevention, etc.) Act 2015
Uploading or transmitting malicious code, viruses, or any software intended to damage or interfere with the Platform
Scraping, crawling, or using automated tools to extract data from the Platform without our prior written consent
Infringing any intellectual property rights belonging to BitesBanq or third parties
Engaging in any fraudulent, deceptive, or unfair commercial practice prohibited by the FCCPA 2018
Harassing, threatening, or abusing other users, vendors, or BitesBanq staff
Creating multiple accounts to exploit promotions, referral programmes, or pricing tiers
Selling or listing products that are counterfeit, prohibited by NAFDAC, or otherwise illegal under Nigerian law
Violation of these provisions may result in immediate account suspension or termination, reporting to law enforcement, civil action, or all of the above. We fully cooperate with Nigerian law enforcement authorities in investigating cybercrimes and financial offences.
All intellectual property rights in the Platform — including but not limited to the BitesBanq name, logo, trademarks, software, source code, user interface design, written content, and databases — are owned by or licensed to Bitesbanq Technology Limited and are protected under Nigerian law, including the Copyright Act 2022, the Trade Marks Act, and applicable international intellectual property conventions to which Nigeria is a signatory.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial purposes in accordance with these Terms.
You must not:
User-generated content (e.g., reviews, photos you upload) remains your property, but you grant BitesBanq a worldwide, royalty-free, perpetual licence to use, display, and distribute such content in connection with operating the Platform and promoting our services.
The Platform may contain links to, or integrate with, third-party websites, services, or applications ("Third-Party Services") including payment processors, social media platforms, and delivery partners.
For payment services specifically, your relationship with our payment gateway partners (e.g., Paystack, Flutterwave) is governed by their respective terms of service. BitesBanq is not liable for any loss arising from the failure, outage, or fraudulent misuse of third-party payment infrastructure.
Disclaimers
The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or continuous availability. We do not warrant that the Platform will be error-free, uninterrupted, secure, or free from viruses.
Limitation of Liability
To the maximum extent permitted under applicable Nigerian law, including the Federal Competition and Consumer Protection Act (FCCPA) 2018, BitesBanq and its officers, directors, employees, and affiliates shall not be liable for any:
Our total aggregate liability to you in respect of all claims arising out of or in connection with the Platform in any twelve (12) month period shall not exceed the total fees paid by you to BitesBanq during that same period, or ₦50,000 (Fifty Thousand Naira), whichever is greater.
Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded under the mandatory provisions of the FCCPA 2018 or other applicable Nigerian consumer protection law.
You agree to indemnify, defend, and hold harmless BitesBanq, its parent, subsidiaries, affiliates, officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
We reserve the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with us in asserting any available defences.
By You: You may close your account at any time by contacting us at support@bitesbanq.com. Account closure is subject to settlement of any outstanding balances, including BNPL obligations. Wallet funds will be returned to your nominated bank account within 10 business days following account closure, after applicable deductions.
By BitesBanq: We may suspend or permanently terminate your access to the Platform, with or without prior notice, if we reasonably determine that:
Upon termination, all licences granted to you under these Terms immediately cease. Provisions that by their nature survive termination (including Sections 8, 10, 11, 12, and 13) shall continue in full force and effect.
Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Informal Resolution
Before initiating formal proceedings, you agree to attempt in good faith to resolve any dispute by contacting us at legal@bitesbanq.com. We will acknowledge your notice within 5 business days and endeavour to resolve the matter within 30 days.
Arbitration
If informal resolution fails, any dispute arising out of or in connection with these Terms, including questions regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Mediation Act 2023 (AMA 2023) of Nigeria. The seat of arbitration shall be Jos, Nigeria. The language of arbitration shall be English. The arbitral tribunal shall consist of a sole arbitrator appointed by agreement of the parties, or in default, by the Jos Court of Arbitration. The arbitrator's decision shall be final and binding.
Consumer Rights
Nothing in this Section limits your rights as a consumer under the FCCPA 2018 to lodge a complaint with the Federal Competition and Consumer Protection Commission (FCCPC) or to seek remedies available under mandatory consumer protection legislation.
Courts
For matters not subject to arbitration, the parties submit to the exclusive jurisdiction of the Federal High Court of Nigeria or the High Court of Jos State, as applicable.
We may revise these Terms at any time. When changes are material, we will:
Your continued use of the Platform after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Platform immediately.
